Section A: Details

  1. Parties

These terms and conditions (the “Terms”) are a binding agreement between Talgo Education ( including its employees and representatives), UEN : 53449725W, address : 11 Jalan Mutiara, 0201 Mutiara View, Singapore 249191 (referred to as “us” “we” or “our”) and those utilising our Services (as defined below) whether providing online tutoring (the “Tutor”) or  receiving the benefit of online tutoring (the “End User”) or any user/ visitor to the website (collectively referred to as  “you” or “your”) that sets out the rights and obligations. By the use of this website and the Services you are deemed to have accepted and agreed to be bound by these Terms, our Privacy Policy and any other instructions, terms and conditions we may issue from time to time (collectively referred to as the “agreement”).

2. Description of Services

2.1 Through our Services, we enable students or their parents to connect with Tutors for tuition arrangements including but not limited to the following services.

  • In person home tuition
  • Online Secondary school tuition
  • Online University level teaching

At its discretion, we may offer additional Services or renew, change or verify any actual content and Services, and these Terms shall apply to all additional, updated, altered or revised Services unless otherwise specified.

(the above services will be collectively referred to as the “Service(s)”)

  1. Changes to our Services

3.1       The Services that we provide are always evolving and the form and nature of the Services that we provide may change from time to time without prior notice to you.

3.1       We hereby reserve the right to cancel and cease offering any of the Services mentioned above. You acknowledge, accept and agree that we shall not be liable for any such, changes, revisions or terminations of any of our Services

  1. Accessing our Services

4.1       The End User can register for our Services by contacting us via our website, email, phone or social media. Following the inquiry we will match your requirements listed with the Services we provide.

4.2       Tutors can contact us through our website. Inquiries made through email or social media, accompanied by their relevant details will also be accepted.

4.3       We do not guarantee that our Services, or any content, will always be available or be uninterrupted. We may suspend, withdraw, discontinue or change all or any part of our Services without notice.  We will not be liable to you if, for any reason, our Services are unavailable at any time or for any period.

4.4       You are responsible for making all arrangements necessary for you to have access to our Services and for ensuring that you procure all equipment and materials necessary to enable you to derive benefit from the Services, including any books, stationary, textbooks etc. recommended by us. We are under no obligation to provide any equipment or materials beyond what is explicitly offered as part and parcel or the Services.

4.5       Use of the Services requires one or more compatible devices, internet access, and certain software (fees may apply), and may require obtaining updates or upgrades from time to time. Because the use of the Services involves hardware, software, and internet access, your ability to access and use the Services may be affected by the performance of these factors. You acknowledge and agree that such system requirements, which may be changed from time to time, are your responsibility.

4.6       For the purpose of the use of the Services you shall provide accurate, authorized, complete, and true information when providing materials or information on the service, including, without limitation, information required to be provided through website registration form. If you submit any inaccurate, false, unauthorized, incomplete or untrue information we have the right to terminate your use and access to the website and/ or Services. You warrant that you will not impersonate any others, whether actual or fictitious, when using the Services, or defame or otherwise harm any party through your use of our Service.

  1. Conduct of Tutoring Sessions

5.1       Tutoring sessions shall be conducted by a Tutor in compliance with the terms of the Tutor Agreement entered into between us and the Tutor and any other codes of conduct that may be applicable.

5.2       All End Users will conduct themselves during tutoring sessions in accordance with the terms of the Student Policy Handbook and any other codes of conduct that may be applicable.

5.3       We offer End Users a trial session to provide the opportunity of deciding whether the tutoring relationship is likely to be effective.

5.4       A trial session shall be for the duration of 0.5-1hour after which the End User can elect to take further tuition sessions in the same subject and same level with the Tutor.  This shall be dependent on the Tutor’s availability schedule to ensure that a regular time slot acceptable to the End User is kept available to accommodate that requirement.

5.5       An End User may reschedule a booked tuition session without charge subject to a minimum notice period of 2 hours prior to the scheduled lesson start time.

5.6       Any booked tuition session cancelled less than 2 hours prior to the scheduled lesson start time or which the End User does not attend shall incur full charges applicable to that lesson.

5.7       Any booked tuition session rescheduled less than 2 hours prior to the scheduled lesson start time shall incur a charge of 50% charges applicable to that lesson.

5.8       An End User is prohibited from making any private arrangement with a Tutor, in respect of the provision of educational services. All communication & payments between a Tutor and End User must only take place by contacting us.

5.9       We reserve the right to, at any time for any reason, change the Tutor assigned to an End User.

5.10     A student may cancel a class by informing us via WhatsApp, text message or email on the details listed on the contact us page.

5.11     A Tutor can register interest in working with us by filling the register as a tutor form on our website. They will then go through an interview process before being selected as a tutor to work with us.  Tutors will be matched with appropriate students as student inquiries come through depending on student requirement and availability on both teacher and student schedules.

  1. Billing and Refunds 

6.1     Details of tutoring sessions and other Services are available directly from us and prices for sessions and pricing packages shall be determined by us from time to time and provided to you.

6.2     An End User may not engage in a tutoring session without first scheduling such a session and by making advance payment for packages relating to booked sessions.

6.3     All billing will be done via the website through paypal, stripe or any other platform available on our platform from time to time. In the event that you are unable to pay us via the payment platforms we will send bank account details for cash to be deposited via paynow/paylah or bank transfer.

  1. Use of the Services

7.1     The Service(s) is available only for your own personal, non-commercial use. You shall not use the Service for any purpose that is prohibited by these Terms, including (but not limited to):

(a) access, tamper with the use of the Services, our computer systems, or the technical delivery systems our providers;

(b) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;

(c) access or search or attempt to access or search the Services by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by us (and only pursuant to those terms and conditions), (scraping the Services without our prior consent is expressly prohibited);

(d) forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Services to send altered, deceptive or false source identifying information;

(e) interfere with, or disrupt, (or attempt to do so), the access of any user, host or network, including, without limitation, sending a virus, trojan, worm, logic bomb or other material which is malicious or technologically harmful, overloading, flooding, spamming, mail-bombing the Services, or by scripting the creation of content in such a manner as to interfere with or create an undue burden on the Services;

(f) either (i) take any action or (ii) post, submit, link, upload, download, to or otherwise distribute or facilitate distribution of any content on or through the Service, that:infringes any patent, trademark, trade secret, copyright, a right of publicity or another right of any other person or entity; is unlawful, abusive, threatening, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, obscene, offensive, or profane; involves commercial activities and sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes; impersonates any us or our employees or representatives;

(g) take any action that may impose or imposes (as determined by us in its sole discretion) an unreasonable or disproportionately large load on our (or its third party providers’) infrastructure;

(h) interfere or attempt to interfere with the proper working of the Service or any activities conducted on the Service;

(i) bypass any of our measures that may use to restrict or prevent access to the Service (or other accounts, networks or computer systems connected to the Service);

(j) Reverse engineering the Service;

(k) decompile, reverse, decipher, disassemble engineer or otherwise attempt to derive any software code or underlying algorithms of any part of the Website, except to the limited extent Singapore or other applicable laws specifically prohibit such restriction;

(l) translate, modify or otherwise create derivative works of any part of the Service; or distribute, lease, copy, rent or otherwise transfer any or all of the rights that you receive hereunder;

7.2     We reserve the right to remove any content from this website or another feature of the website at any time, for any reasons or no reason at all.

7.3     You shall abide by all copyright notices, information, and restrictions contained in any content accessed through the Service. You shall not license, rent, publicly display, adapt modify, sell, create, distribute, copy, reproduce, transmit, publicly perform, publish, edit derivative works from, or otherwise exploit any content or third-party submissions or other proprietary rights not owned by you:
(i) without the consent of the respective owners or other valid right and
(ii) in any way that violates any third party right.

7.4     You can, to the extent this website expressly authorizes you to do so, copy or download content, and other items displayed on the Service for download, for personal use only, provided that you maintain all copyright and other similar notices contained in such content.

7.5     Deleting your account affects all data associated with that account and any Services you use. You understand that all your notes and information will be deleted.

7.6     Please be aware that the Service or other features of this website may contain, or direct you to Services with content that some people may find offensive or inappropriate.

7.7     We will report any such breach to the relevant law enforcement authorities, and we will cooperate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Services will cease immediately.

  1. Code of Conduct

We expect all Tutors and End Users to conduct themselves appropriately in a professional and ethical manner.

Section B: General Terms and Conditions

Privacy and Data Security

1.1       You agree and consent under the Personal Data Protection Act of Singapore to the collection, use, disclosure of any all-personal data by/to us and such other third parties in our discretion consider appropriate or necessary in connection with the provision of the Services in accordance with our Privacy Policy.

1.2       If you provide us with personal data of any third party, you hereby:

  • Agrees on behalf of that third party to be bound by these Terms contained here; and
  • Consents on behalf of that third party, to our collection, use, disclosure and processing of his/her personal data in accordance with these Terms herein and our Privacy Policy; and
  • Warrants that you have obtained the said third party’s prior consent to such collection, use, disclosure and processing of his/her personal data by us and that the personal data that you provide to us is true, accurate and complete.

1.3       You acknowledge that all tutoring sessions will be recorded for quality assurance, record keeping, revision, training. Any recorded session may only be viewed by us, the Tutor conducting the session, if requested by the End User and the parent/guardian.

1.4       We may use testimonials, examples, and photos of you and you approve that any testimonials provided by you and/or any photos or videos you provide may be used in our marketing material in relation to our Services.

Intellectual Property Right

2.1       All intellectual property rights subsisting in respect of the Services, all information you see and read on this website belong to us or have been lawfully licensed to us for the use in connection with the Services. All rights under applicable laws are hereby reserved. All content that is a part of the website and/ or the Services such as images, logos, graphics, text as well as any software used on the website, belong to us and is protected by copyright and other applicable laws and/ or regulation. You agree to follow all copyright and other proprietary notices or other limitations that are in any content and will not make any changes thereto.

2.2       We give you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software that is provided to you by us as part of the Services.  This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided, in the manner permitted by these Terms.

2.3       Images of people or places displayed on this website are either the property of us or used by us with permission. The use of these images by you, or anyone else authorised by you, is prohibited unless specifically permitted elsewhere on this website. Any unauthorised use of the images may violate copy right laws, trademark laws, the laws of privacy and publicity and communications regulations and statutes.

2.4       You will not copy, publish, modify, transmit, reverse engineer, participate in the transfer or sale, or in other way use any of the content, in whole or in part, found on the website. You are not entitled to make any unauthorized use of any protected content, and in particular, you will not delete or change any proprietary rights or attribution notices in any content. You have to use protected content solely for your personal use and do not let any other persons use the described content without our prior written permission or the copyright of the owner. You agree that you do not acquire any ownership rights in any protected content in relation to the Services. We do not grant you any licenses, implied or expressed, to the intellectual property rights or its licensors except as expressly authorized by these Terms.

2.5       “Intellectual property rights” for the purpose of these Terms would mean;

  • Intellectual property of whatever nature anywhere in the world and all rights pertaining thereto, whether registered or unregistered, including, without limitation patents, copyrights, service marks, trademarks, rights in trade names and business names, service marks, designs and internet domain names and website addresses, know- how, trade secrets, and all other legal rights protecting intangible property information in any formal whatsoever and via any device, means media or methods, including telecommunication services, portable electronics devices, software applications or the internet;
  • Applications in respect of, and right to apply for and be granted, renewals or extensions of any of the rights listed in item (a) above that are capable of being registered in any country or jurisdiction and
  • All other rights having equivalent or similar effect in any country of jurisdiction.

We neither warrant not represent that your use of the contents of this website or the use of the Services will not infringe any rights of third parties not owned by or affiliated with us.

Limited liability and warranty 

3.1       Without limiting the generality of the foregoing, in no event will we be liable to you or any other person for any direct, indirect, incidental, special, punitive or consequential loss or damages, including any loss of business, profit, goodwill or reputation arising out of any use, or inability to use, the information or the Services.

3.2       The limitation of liability contained in these Terms will apply to the fullest extent permitted by applicable laws and/ or regulations.

3.3            We shall in no event or circumstance be liable for any damages of any character or any claim, demand, losses or expenses including without limitation, direct, indirect, special, consequential or punitive damages or economic loss airing from or in connection with the use of this website and its contents, including without limitation;

  • Any access, use or the inability to access or use this website, or reliance on the contents of this website.
  • Any systems, server or connection failour, error, omission, interruption, delay in transmission or computer virus;
  • Any use of or access to any other website linked to this website; and/ or
  • Any services, products, information, data, software or other material obtained from this website or from any other website linked to this website

However, caused, including negligence even if we have been advised of the possibility of such damages, losses and/ or expenses.

Disclaimer

4.1            We assume no responsibility for incomplete, lost, late, damages, illegible or misdirected communication, for technical hardware or software failures of any kind, lost of unavailable network connections, or failed incomplete, garbles or delayed electronic transmission which may limit your ability in the use of this Services of this website.

4.2            We have the sole and absolute discretion to exclude you from the use of the Services and/ or the website without any obligations to furnish notice and/ or reason.

4.3            We make no representations, warranties or guarantees, whether expressed or implied, that our Services or any content on our website is accurate, adequate, complete, up-to-date or free from errors or omissions, fitness for a particular purpose or use, title ad non infringement of third-party rights. You acknowledge and agree that Services offered shall be provided “as is”. Your access to and use of our Services is at your sole risk and are for your personal use only.

4.4            While we make every effort to ensure that the content of this website is accurate we do not guarantee or assume any responsibility that:

  • the information presented in our Services is accurate, adequate, current or reliable, or may be used for any purpose other than for general reference;
  • the information presented in our Services is free of defect, error, omission, virus or anything which may change, erase, add to or damage your software, data or equipment; (c) messages sent through the internet including in connection with the services will be free from interception, corruption, error, delay or loss;
  • access to the Services will be available or be uninterrupted.
  • use of the Services will achieve any particular result; or
  • defects in the Services will be corrected.

4.5              We make every effort to ensure that our computer infrastructure is a virus- and error-free but does not warrant that any content that is available for downloading from the website does not contain viruses, infection or other code that has destructive or contaminating properties. You are responsible for carrying out sufficient procedures and virus checks (including anti-virus and other security verifications) to gratify your particular requirements for the accuracy of information output and input.

4.6              We will use our best efforts to match the End Users and our Tutors for the provision of the Services but due to varying factors, we cannot guarantee good results. While we will try to resolve conflicts between Tutors and End Users, we hold no legal liability for disputes that may arise in this regard. We (including our employees, sub-contractors and agents) shall not be responsible for any disputes which may happen between the Tutors and the End Users.

4.7              You will exercise and rely solely on your own skill and judgment in your use and interpretation of the information and use of the Services. You are responsible to ensure that your use of the information and the Services complies with all applicable laws and/ or regulations.

4.8              This website may be linked to other websites which are not maintained by us. Such links are provided for your convenience and reference only and the inclusions of any hyperlinks to any other website is not an endorsement or verification by us of such a website, its content or its sponsoring organisation, and such website shall be accessed at your own risk.

4.9       Without prejudice to the foregoing, if your use of the Services does not proceed satisfactorily and/or where applicable you do not receive appropriate responses to such use from us, as set out in these Terms or otherwise, you are advised to contact us at savi@talgomath.com

5.1              The Website provides hypertext links to other sites operated by other services. The usage of such a links means you are leaving our website. We take no responsibility for and gives no warranties, endorsements, guarantees or representations in respect of, linked sites.

5.2              We are not a publisher of content supplied by third parties and users of the internet. Any offers, services, statements, advice, opinions, or other content that is available by third parties, including information of providers, or users, are those of the authors or distributors and not of us. We do not necessarily endorse nor are we liable for the accuracy or reliability of any content made on our website.

5.3              The Services may include advertisements, which may be targeted to the content and/or information on the Services, queries made through the Services, or other information.  The types and extent of advertising by us on the Services are subject to change. In consideration for us granting you access to and use of the Services, you agree that us and our third-party providers and partners may place such advertising on our website or in connection with the display of content or information from the Services whether submitted by you or others.

5.4       Links to other websites and services do not constitute an endorsement by us of such websites or services, or the information, products, advertising or other materials available made available by such third parties.

Indemnity 

6.1              You agree to defend, indemnify and hold us harmless from and against all liabilities, damages, claims, actions, costs and expenses (including without limitation legal fees), in connection with or arising from your breach of any of these Terms and/or your use of our website. We may, if necessary, participate in the defense of any claim or action and any negotiations for settlement. No settlement which may adversely affect our rights or obligations shall be made without our prior written approval. We reserve the right, at our own expense and on notice to you, to assume exclusive defend and control of any claim or action.

6.2              By the use of the Services and this website you agree and undertake at all times to indemnify, keep indemnified and hold us, our employees and agents harmless against all losses (including direct, indirect, incidental and/ or consequential losses), damages (including general, special and / or punitive damages) demands, injuries (other than personal injury caused by our negligence) claims, costs, penalties, interest and fees (including all legal fees as between solicitor and client or otherwise on a full indemnity basis whether or not incurred in respect of any real, anticipated, or threatened legal proceedings), howsoever caused by, arising or resulting from, whether directly or indirectly , the use of the Services, and/ or any breach or purposed breach of these Terms and/ or any applicable laws.

Waiver 

Failure by us to exercise any of our rights or remedy under these Terms does not constitute a waives of that right or remedy.

  1. Termination 

The Terms will continue to apply until terminated by either you or us as follows.

  • Tutors may end your agreement with us at any time for any reason by giving us a notice period of two weeks. End Users may discontinue your use of the Services at any time.
  • We may suspend or terminate the use of your services or cease providing you with all or part of the Services at any time for any reason, including, but not limited to, if we reasonably believe:

(i) you have violated these Terms and/ or the agreement with us;

(ii) you create risk or possible legal exposure for us;

(iii) our provision of the Services to you is no longer commercially viable;

(iv) you have failed to make any payment of any associated fees that may be owed by you to us;

(v) there have been extended periods of inactivity by you; or

(vi) you have engaged by in any fraudulent or illegal activities acting in contraventions of any applicable laws and/ regulations.

Disputes

9.1              Should a dispute arise between a Tutor and an End User, we will use our best efforts to facilitate a satisfactory resolution of the issue in dispute, but we will not be held responsible for any such dispute or undertake the responsibility for successfully resolving such a dispute.

9.2              In the event of a dispute as mentioned under clause 9.1 we shall use our best endeavours to find a solution to the issue in dispute, which may include offering to find and allocate a different Tutor, subject to availability, but we shall not be held liable for failing to find or allocate another Tutor.

9.3              Our determination of all matters in connection with the Services shall be final, biding and conclusive. We are not obliged to give any reason or prior notice on any matter concerning the Services. You shall not be entitled to any damages or compensation whatsoever or howsoever arising as a result of such a suspension or termination.

Modifications 

We may amend the Terms from time to time at our sole discretion without notice or liability to you and it is your responsibility to check periodically for changes.  By continuing to use the Services following such amendments to the Terms, you agree to be bound by such amendments.

Inconsistency

In the event of any inconsistency or discrepancy between the Terms and the contents of any brochure, marketing and/or promotional material relation to the Services, these Terms shall prevail.

Governing law and jurisdiction 

These Terms shall be governed by Singapore law. You agree that the Singapore courts shall have the exclusive jurisdiction to settle any dispute which may arise out of, under or in connection with these Terms and or the agreement between the parties.
